IF YOU DO NOT ACCEPT ANY OF THESE TERMS, YOU ARE PROHIBITED FROM USING THE SITE.
THESE TERMS REQUIRE THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS. PLEASE SEE SECTION 8 BELOW FOR THESE TERMS.
Product Availability
Digital products and services purchased through the Site are available immediately upon successful payment, excluding unforeseen errors. No extended waiting period is generally required.

Institute, assist or become involved in any type of attack, including without limitation distribution of a virus or other attempts to disrupt the Site;
Gain, or attempt to gain, unauthorized access to the Site, other users' accounts, or the servers or networks used to support the Site, including by circumventing or modifying any security, technology, device or software that is part of the Site;
Make any automated use of the Site, or scrape, spider, crawl or harvest data from the Site, or take any action that imposes an unreasonable or disproportionately large load on our infrastructure;

WE SHALL BE UNDER NO OBLIGATION TO COMPENSATE YOU FOR ANY LOSSES OR ADVERSE RESULTS THAT ARE DUE TO ANY SUCH SUSPENSION, TERMINATION OR MODIFICATION.
We also reserve the right to stop enabling use of the Site or part of the Site at any time if we believe that its continued use will or may cause harm to us or you or may result in any violation of applicable law. If we elect to stop enabling or supporting the Site or part of the Site, the license granted hereunder will automatically terminate.
1.6 Intellectual Property Ownership in the Site
The Site, and all of its related components and contents (including without limitation any computer code, template content, concepts, artwork, designs, text and branding) is owned by Data Tool Builders LLC or its licensors, and all such material is protected by United States and international patent, copyright, trademark, trade secret, and other intellectual property laws.
2. Your Content
2.1 Submitted Content
"Submitted Content" means the information, text, data and materials that you enter into or transmit through the Site in order to use it and to generate your results or documents. You retain your rights in your Submitted Content. You grant us a non-exclusive, worldwide, royalty-free license to host, copy, process, adapt and display your Submitted Content solely as needed to operate, provide, secure and improve the Site and to provide the products and services you request.
2.2 Obligations Regarding Content
By transmitting or submitting any Submitted Content, you affirm, represent and warrant that it (a) is accurate; (b) is not in violation of any applicable law, contractual restriction or third-party right, and that you have permission from any third party whose personal information or intellectual property is comprised in it; and (c) is free of viruses, adware, spyware, worms or other malicious code. Outputs generated for you may be used by you for your own lawful purposes; you remain solely responsible for them as set out in Section 1.2.
2.3 Consent to Monitoring; Content Screening
You acknowledge that we may monitor and record use of the Site for security, fraud-prevention and quality purposes, and that we may reject, refuse to process or delete any content you submit for any or no reason, including where, in our sole judgment, such content violates these Terms or may violate applicable law.
3. Purchases, Billing and Subscriptions
3.1 Payment Authorization
Prices, applicable charges and any recurring-billing terms are disclosed at checkout before you pay. By submitting a payment you authorise us (and our payment processors) to charge your chosen payment method for the amounts disclosed.
3.2 One-Time Purchases and Subscriptions
One-time purchases are charged once, at the price shown at checkout.
Subscriptions, where offered, renew automatically at the interval and price disclosed at checkout until cancelled. Any introductory or trial pricing converts to the disclosed standard price when the introductory or trial period ends.
Cancellation: you may cancel a subscription at any time from your account area or by emailing [email protected]. Cancellation stops future renewal charges; it takes effect at the end of the current billing period, and access continues until then.
If a charge fails, we may retry it. We may change subscription pricing prospectively with reasonable advance notice; price changes never apply retroactively, and any change applies from your next renewal after notice.
3.3 Refunds
If you are unhappy with a charge, contact us at [email protected] and we will work with you in good faith. Unless stated otherwise at checkout or required by applicable law, charges are non-refundable once the corresponding product or service has been delivered. Nothing in these Terms limits any non-waivable statutory rights you may have.
4. Third Party Sites
The Site may contain links to third-party websites or vendors. Any charges or obligations you incur in your dealings with these third parties are your responsibility. We make no representation or warranty regarding any content, goods or websites provided by any third party even if linked from our Site, and we will not be liable for any claim relating to any third-party content, goods or websites. Linked sites are not under our control and may collect data or solicit personal information from you; we are not responsible for their content, business practices or privacy policies. The inclusion of any link does not imply our endorsement of the linked site.
5. Updates to the Site
You understand that the Site undergoes frequent changes. We may add, modify or discontinue features of the Site at any time, and you acknowledge and agree that we may update the Site without notifying you.
6. Disclaimer; Limitations; Waivers of Liability; Indemnification
6.1 SITE PROVIDED "AS IS"
YOU EXPRESSLY AGREE THAT USE OF THE SITE IS AT YOUR SOLE RISK AND THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT REPRESENTATIONS OR WARRANTIES OF ANY KIND, AND WE SPECIFICALLY DISCLAIM ALL REPRESENTATIONS AND WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF NON-INFRINGEMENT, ACCURACY, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE (EXCEPT ONLY TO THE EXTENT PROHIBITED UNDER APPLICABLE LAW, WITH ANY LEGALLY REQUIRED WARRANTY PERIOD BEING THE SHORTER OF THIRTY (30) CALENDAR DAYS FROM FIRST USE OR THE MINIMUM PERIOD REQUIRED).
6.2 NO WARRANTY OF ERROR-FREE OPERATION
WITHOUT LIMITING THE FOREGOING, NEITHER Data Tool Builders LLC NOR ITS AFFILIATES OR SUBSIDIARIES, OR ANY OF THEIR DIRECTORS, EMPLOYEES, AGENTS, ATTORNEYS, THIRD-PARTY CONTENT PROVIDERS, DISTRIBUTORS, LICENSEES OR LICENSORS (COLLECTIVELY, THE "COMPANY PARTIES") WARRANT THAT ACCESS TO THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY OUTPUTS WILL MEET YOUR REQUIREMENTS OR BE ACCEPTED BY ANY THIRD PARTY OR AUTHORITY.
6.3 DISCLAIMER OF INDIRECT DAMAGES; LIABILITY CAP
YOU ACKNOWLEDGE AND AGREE THAT, TO THE FULLEST EXTENT PERMITTED BY ANY APPLICABLE LAW, THE DISCLAIMERS OF LIABILITY CONTAINED HEREIN APPLY TO ANY AND ALL DAMAGES OR INJURY WHATSOEVER CAUSED BY OR RELATED TO USE OF, OR INABILITY TO USE, THE SITE UNDER ANY CAUSE OR ACTION WHATSOEVER OF ANY JURISDICTION, INCLUDING, WITHOUT LIMITATION, ACTIONS FOR BREACH OF WARRANTY, BREACH OF CONTRACT OR TORT (INCLUDING NEGLIGENCE), AND THAT THE COMPANY PARTIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES OR FOR ANY LOSS OF PROFITS, BUSINESS, BUSINESS INFORMATION, DATA OR GOODWILL, IN ANY WAY WHATSOEVER ARISING OUT OF THE USE OF, OR INABILITY TO USE, THE SITE OR ANY INFORMATION, DATA, PRODUCT OR SERVICE PROVIDED THROUGH THE SITE. THE COMPANY PARTIES' TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SITE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SITE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
6.4 DISCLAIMER MAY NOT BE APPLICABLE
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. THEREFORE, SOME OF THE ABOVE LIMITATIONS IN THIS SECTION MAY NOT APPLY TO YOU.
6.5 Indemnification
You agree to defend, indemnify, save, and hold the Company Parties harmless from any claims, losses, damages, liabilities, including legal fees and expenses, arising out of your use or misuse of the Site, any violation by you of these Terms or any breach of the representations, warranties and covenants made by you herein. We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. The provisions of this paragraph will survive any termination of these Terms or the Site.
7. Dispute Resolution
7.1 General
If a dispute arises between you and Data Tool Builders LLC, our goal is to provide you with a neutral and cost-effective means of resolving the dispute quickly. Accordingly, you and we agree to resolve any claim or controversy at law or equity that arises out of these Terms or the Site (a "Claim") in accordance with one of the subsections below or as we and you otherwise agree in writing. Before resorting to these alternatives, we strongly encourage you to first contact us directly at [email protected] to seek a resolution. Other than those matters listed in Section 7.2, you and we agree to seek resolution of any dispute only through binding arbitration in accordance with this Section 7, and not to litigate any dispute in court. Arbitration means that the dispute will be resolved by a neutral arbitrator instead of in a court by a judge or jury.
7.2 Exclusions from Arbitration; Opt-Out Right
YOU AND Data Tool Builders LLC AGREE THAT ANY CLAIM FILED BY YOU OR BY US IN SMALL CLAIMS COURT, OR BY US RELATED TO PROTECTION OF OUR OR ANY OF OUR LICENSORS' INTELLECTUAL PROPERTY, IS NOT SUBJECT TO THE ARBITRATION TERMS CONTAINED IN THIS SECTION 7. IF YOU DO NOT WISH TO BE BOUND BY THE BINDING ARBITRATION PROVISION AND CLASS ACTION WAIVER IN THIS SECTION 7, YOU MUST NOTIFY US IN WRITING WITHIN THIRTY (30) DAYS OF THE DATE THAT YOU FIRST ACCEPT THESE TERMS. YOUR WRITTEN NOTIFICATION MUST BE MAILED TO Data Tool Builders LLC, 5830 E 2nd St Ste 7000 Casper, WY 82609, ATTN: TERMS ADMINISTRATOR, AND MUST INCLUDE: (1) YOUR NAME, (2) YOUR ADDRESS, AND (3) A CLEAR STATEMENT THAT YOU DO NOT WISH TO RESOLVE DISPUTES WITH US THROUGH ARBITRATION.
7.3 Class Action Waiver
ANY DISPUTE RESOLUTION PROCEEDINGS, WHETHER IN ARBITRATION OR COURT, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS OR REPRESENTATIVE ACTION OR AS A NAMED OR UNNAMED MEMBER IN A CLASS, CONSOLIDATED, REPRESENTATIVE OR PRIVATE ATTORNEY GENERAL ACTION, UNLESS BOTH YOU AND WE SPECIFICALLY AGREE TO DO SO IN WRITING FOLLOWING INITIATION OF THE ARBITRATION. If you or we elect to resolve a dispute through arbitration, the party initiating the arbitration proceeding must initiate it with the American Arbitration Association ("AAA"). The terms of this Section 7 will govern in the event they conflict with the arbitration rules identified below.
7.4 Arbitration Procedures
Because the Site concerns interstate commerce, the Federal Arbitration Act ("FAA") governs the arbitrability of all disputes. However, applicable federal or state law may also apply to the substance of any disputes. For claims of less than $75,000, the AAA's Consumer Arbitration Rules shall apply; for claims over $75,000, the AAA's Commercial Arbitration Rules and relevant fee schedules for non-class action proceedings shall apply. The AAA rules are available at www.adr.org. The arbitrator will make any award in writing but need not provide a statement of reasons unless requested by a party. Such award will be binding and final, except for any right of appeal provided by the FAA, and may be entered in any court having jurisdiction over the parties for purposes of enforcement.
7.5 Location of Arbitration
You or we may initiate arbitration in either the county in which Data Tool Builders LLC is organised or the county in which you reside.
7.6 Severability of Arbitration Terms
If any clause within this Section 7 (other than the Class Action Waiver in Section 7.3) is found to be illegal or unenforceable, that clause will be severed from this Section 7 and the remainder of this Section 7 will be given full force and effect. If the Class Action Waiver is found to be illegal or unenforceable, this entire Section 7, except for this Section 7.6, will be unenforceable and the dispute will be decided by a court, and IN THAT INSTANCE, YOU AND WE EACH WAIVE AND AGREE TO WAIVE ANY RIGHT TO TRIAL BY JURY, TO THE EXTENT ALLOWED BY LAW.
8. General Provisions
8.1 Updates to the Terms and Privacy Policy
We reserve the right, at our discretion, to change, modify, add or remove portions of these Terms and our Privacy Policy at any time by posting the amended Terms or Privacy Policy on the Site and/or by emailing you a copy to the email address we have for you in our records. You will be deemed to have accepted such changes by continuing to use the Site. Except as otherwise stated, all amended terms shall automatically be effective thirty (30) calendar days after they are initially posted. No amendment shall apply to any dispute of which we had actual notice before the date of the amendment. If at any time you do not agree to any provision of the then-current version of these Terms or the Privacy Policy, your right to use the Site will immediately terminate, and you must immediately stop using the Site.
8.2 Severability
If any provision of these Terms or the Privacy Policy is found invalid, illegal, or unenforceable, in whole or in part, by any court of competent jurisdiction, such provision will, as to such jurisdiction, be ineffective solely to the extent of such determination without affecting the validity, legality, or enforceability thereof in any other manner or jurisdiction and without affecting the remaining provisions of the Terms, which will continue to be in full force and effect.
8.3 Assignment
We may assign any of our rights or delegate any of our obligations under these Terms, in whole or in part, to any person or entity at any time without your consent. You may not assign or delegate any rights or obligations under the Terms without our prior written consent; any purported assignment or delegation in violation of this Section is void.
8.4 Entire Agreement
These Terms, together with the Privacy Policy and any other documents expressly incorporated by reference herein, contain the entire agreement between us and you with respect to the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, representations and warranties of the parties relating to the subject matter hereof.
8.5 No Waiver
Our failure to require or enforce strict performance by you of any provision of these Terms or the Privacy Policy or failure to exercise any right under them shall not be construed as a waiver or relinquishment of our right to assert or rely upon any such provision or right in that or any other instance.
8.6 Notices
We may notify you via postings viewable through the Site and via email or any other communications means through contact information you provide to us. All notices given by you or required from you under these Terms or the Privacy Policy shall be in writing and addressed to:

8.8 Interpretation
As used herein, the word "including" or any variation thereof means (unless the context of its usage otherwise requires) "including, without limitation" and shall not be construed to limit any general statement that it follows to the specific or similar items or matters immediately following it.
8.9 Choice of Law
These Terms and the Privacy Policy shall be governed by the laws of the state in which Data Tool Builders LLC is organised, notwithstanding its conflicts of law provisions.
